CBRD — the Corporate and Business Registration Department — is the government body that maintains the register of companies and businesses in Mauritius. CBRIS — the Companies and Businesses Registration Integrated System — is the online portal (companies.govmu.org) you actually log into to register, file returns, and pay fees. This guide walks a founder through registering a private company from scratch on CBRIS, including MauPass sign-in, document checklist, fees, and post-incorporation filings.
Sign in with MauPass
MauPass is the government's single sign-on. Create it once at maupass.govmu.org using your NIC and mobile number. Every director and shareholder in the company will need their own MauPass, and each will sign the incorporation documents electronically.
Documents & information to prepare
- Proposed company name (check availability first on CBRIS).
- NIC or passport for every director and shareholder.
- Proof of address for each (dated within 3 months).
- Registered office address in Mauritius.
- Share capital and share allocation (a common start is 100 shares at Rs 1 each).
- Business activity description and NACE code.
Filling in the incorporation form
On CBRIS choose Register a New Company → Private Company Limited by Shares.
- Enter the proposed name and reserve it.
- Add directors and shareholders (each must sign via MauPass).
- Upload the registered office proof.
- Set share capital and allotments.
- Pay Rs 3,000 by card.
CBRD normally issues the Certificate of Incorporation and BRN within 2–3 working days.
After incorporation: what you must do
- Register with the MRA (income tax, and PAYE if hiring).
- Register for VAT if you expect turnover above Rs 6M.
- Open a business bank account with the certificate and MauPass-signed constitution.
- File the annual return each year on CBRIS.
- Keep a share register and minutes of shareholder decisions.
